Provide analysis and counsel on legal and policy issues to include: mergers & acquisitions, commercial agreements, protecting intellectual property, nondisclosure agreements, outsourcing and other business agreements.
• Provide legal counsel on issues arising from actual or anticipated lawsuits.
• Assist in implementation of the Company’s compliance and training programs.
• Anticipate and guard against legal risks facing the company.
• Develop and recommend company policy and position on legal issues.
• Conduct and coordinate research into a variety of legal issues.
• Supervise and assist outside counsel to represent the Company or its officials in various legal proceedings.
• Write, review, and edit reports, opinions, correspondence, articles, and other documents.
• Draft and administer complex vendor, client, and employment contracts.
• Develop and recommend operating policy and procedural improvements.
• Other duties as assigned.
